2slides Terms of Use Agreement

1. USE OF THE SERVICES AND SERVICES

The Platform, the Site, the Services, and the information and content made available on the Site and through the Services are the sole property of 2slides and its licensors.

1.1 License to the Services

Subject to your ongoing compliance with this Agreement, 2slides grants you a limited, non-exclusive, non-sublicensable and nontransferable license to access and use the Services in accordance with their designed functionality for your personal or internal business purposes. The Services consist of 2slides' proprietary AI-powered presentation creation platform (the "Platform") and certain tools and services associated therewith.

1.2 Use of AI

Our Service utilizes artificial intelligence platforms, algorithms and models to generate presentations, templates, suggestions, and materials (collectively, "Results") based on your inputs. You acknowledge that any Results are intended to assist users in generating initial drafts of their presentations, and are not intended as any final, definitive or comprehensive presentation of any particular topic or idea.

All Results are provided "as is" and with "all faults", and 2slides makes no representations or warranties of any kind with respect to any Results, including any warranties of accuracy, completeness, truthfulness, timeliness or suitability.

1.3 Certain Restrictions

The rights granted to you in this Agreement are subject to the following restrictions:

• You shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Services
• You shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Services
• You shall not use any manual or automated software to "scrape" or download data from the Services
• You shall not remove or destroy any copyright notices or other proprietary markings

2. REGISTRATION

2.1 Registering Your Account

In order to access certain features of the Services you may be required to become a Registered User. A "Registered User" is a user who has registered an account on the Site ("Account").

2.2 Registration Data

In registering an account on the Site, you agree to provide true, accurate, current and complete information about yourself. You represent that you are at least sixteen (16) years old and of legal age to form a binding contract. You are responsible for all activities that occur under your Account.

3. RESPONSIBILITY FOR CONTENT

3.1 Types of Content

You acknowledge that all Content, including Services, is the sole responsibility of the party from whom such Content originated. This means that you, and not 2slides, are entirely responsible for all Content that you upload, post, transmit or otherwise make available through Services ("Your Content").

3.2 Content Guidelines

Your Content may not contain nudity, violence, sexually explicit, or offensive subject matter as determined by 2slides in its sole discretion. 2slides reserves the right to remove any Content that violates these guidelines.

4. OWNERSHIP

4.1 Services

Except with respect to Your Content, you agree that 2slides and its suppliers own all rights, title and interest in Services, including computer code, themes, objects, concepts, artwork, animations, sounds, audiovisual effects, methods of operation, and software.

4.2 Your Content

2slides does not claim ownership of Your Content. However, when you post or publish Your Content on the Services, you grant 2slides a fully paid, royalty-free, worldwide, non-exclusive and fully sublicensable right and license to use Your Content for the purposes of operating and providing Services to you.

4.3 AI Model Training

If you are on a paid plan with privacy controls, we do not train on Your Content. If your plan does not include privacy controls for AI training, you agree that we may use Your Content to train, improve and refine our AI models, machine learning systems, products and services.

5. USER CONDUCT

As a condition of use, you agree not to use Services for any purpose that is prohibited by this Agreement or by applicable law. You shall not:

• Infringe any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity
• Upload unlawful, threatening, abusive, harassing, defamatory, or offensive content
• Impersonate any person or entity, including any employee or representative of 2slides
• Interfere with or attempt to interfere with the proper functioning of the Services
• Attempt to gain unauthorized access to the Services or other users' accounts
• Use the Services for commercial purposes without proper authorization

6. MONITORING AND ENFORCEMENT

2slides may, but is not obligated to, monitor or review Services and Content at any time. 2slides reserves the right to remove or refuse to post any Content, take appropriate legal action, and terminate or suspend your access to all or part of the Services for any violation of this Agreement.

7. FEES AND PURCHASE TERMS

7.1 Payment

You shall pay all fees or charges to your Account in accordance with the fees, charges and billing terms in effect at the time a fee is due and payable. You must provide 2slides with accurate and up-to-date payment information.

7.2 Subscriptions

If you purchase a Subscription, your Subscription will continue indefinitely until terminated. After your initial Subscription period, your Subscription will automatically renew for additional periods at 2slides' then-current price unless you cancel.

7.3 No Refunds

THERE ARE NO REFUNDS FOR ANY PRODUCTS OR SERVICES PURCHASED ON OR THROUGH THE SERVICES AND WE ARE NOT OBLIGATED TO PROVIDE ANY CREDITS FOR PARTIALLY USED SUBSCRIPTIONS.

8. INDEMNIFICATION

You agree to indemnify and hold 2slides, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors harmless from any losses, costs, liabilities and expenses relating to or arising out of your use of the Services, your violation of this Agreement, or your violation of any rights of another party.

9. DISCLAIMERS OF WARRANTIES AND CONDITIONS

9.1 As Is

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS.

2slides makes no warranty that the Services will meet your requirements, be uninterrupted, timely, secure or error-free, or that the results obtained from use of the Services will be accurate or reliable.

10. LIMITATION OF LIABILITY

10.1 Disclaimer of Certain Damages

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT SHALL 2SLIDES BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION.

10.2 Cap on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, 2SLIDES WILL NOT BE LIABLE TO YOU FOR MORE THAN THE GREATER OF (a) THE TOTAL AMOUNT PAID TO 2SLIDES BY YOU DURING THE ONE-MONTH PERIOD PRIOR TO THE ACT GIVING RISE TO SUCH LIABILITY; OR (b) $100.

11. TERM AND TERMINATION

11.1 Term

This Agreement commences on the date when you accept them and remain in full force and effect while you use Services, unless terminated earlier in accordance with this Agreement.

11.2 Termination

2slides has the right to immediately and without notice suspend or terminate any Services provided to you. You may terminate the Services by closing your Account.

11.3 Effect of Termination

Upon termination, your right to use the Services will automatically terminate immediately. 2slides may delete your Account and all related information, files and Content associated with your Account.

12. CHANGES TO TERMS

This Agreement is subject to change by 2slides in its sole discretion at any time. When changes are made, 2slides will make a new copy of these Terms available at the Site and update the "Last Updated" date. If you do not agree to any changes after receiving notice, you shall stop using the Services.

13. GOVERNING LAW AND JURISDICTION

THE TERMS AND ANY ACTION RELATED THERETO WILL BE GOVERNED AND INTERPRETED BY AND UNDER THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT GIVING EFFECT TO ANY PRINCIPLES THAT PROVIDE FOR THE APPLICATION OF THE LAW OF ANOTHER JURISDICTION.

15. GENERAL PROVISIONS

15.1 Electronic Communications

The communications between you and 2slides may take place via electronic means. You consent to receive communications from 2slides in an electronic form and agree that all terms and conditions, agreements, notices, disclosures, and other communications satisfy any legal requirement.

15.2 Severability

If any portion of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.

15.3 Entire Agreement

This Agreement is the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to such subject matter.
